1. GENERAL
This Acceptable Use Policy (the “AUP”) governs the use of the Dash Social platform (collectively, the “Services”) provided by Dash Hudson Inc. and/or its affiliated companies and subsidiaries (collectively, “Dash Social”, “us”, “our” or “we”). Any terms not defined in this AUP shall have the meaning ascribed to those terms in the Dash Social Terms of Service (the “Terms”). This AUP shall be incorporated into the Terms and Customer agrees to comply, and to ensure that each of its Users complies, with this AUP. By using the Services, you are agreeing to this AUP which forms an integral part of the Terms which apply to your permitted use of the Services.
2. CUSTOMER AND USER CONDUCT
This AUP is intended to set the parameters for permitted use of the Services and to protect against improper, inappropriate, abusive, or illegal conduct by Users. The prohibited uses described in this AUP are intended as guidelines regarding improper and inappropriate conduct and should not be interpreted as an exhaustive list.
3. CUSTOMER AND USER CONDUCT
Customer shall, regardless of knowledge or intent:
- have sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Customer Content and Account Information;
- use commercially reasonable efforts to prevent unauthorized access to, or use of, the Services and to notify Dash Social promptly of any such unauthorized access or use;
- be responsible for all activities that occur in Users’ Accounts and for Users’ compliance with this AUP and the Terms;
- comply with all applicable local, provincial, state, federal, and foreign laws in using the Services, including, without limitation, obtaining all necessary licenses, permissions, and consents to enable all material comprising Customer Content to be made available to Dash Social for Dash Social to transmit, host, and store; and
- use the Services solely for lawful purposes.
4. PROHIBITED USES OF THE SERVICES
Customer shall not (and shall not permit any User or third party to), directly or indirectly:
- license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share, or otherwise exploit or make the Services available to any third party;
- interfere with or disrupt the integrity or performance of the Services or the data contained therein, including using any type of spider, virus, worm, Trojan-horse, time bomb, or any other codes or instructions that are designed to distort, delete, damage, or disassemble the technology underlying the Services;
- attempt to gain unauthorized access to the Services or its related systems or networks;
- disclose any benchmarking or results of the Services to third parties without Dash Social’s prior written consent;
- modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services;
- circumvent any user limits or other timing or use restrictions that are built into the Services;
- remove any proprietary notices, labels, or marks from the Services;
- frame or mirror any content forming part of the Services;
- access the Services in order to:
- build a competitive product or service, or
- copy any ideas, features, functions, or graphics of the Services;
- perform any security penetration testing, stress, or load testing or otherwise intentionally undertake actions which are reasonably likely to interfere with the operation of the Services without Dash Social’s prior written consent;
- use the Services to send any unsolicited commercial communication not permitted by applicable law;
- endanger any part of any system or Internet connection of Dash Social or any third party through use of the Services;
- use the Services to manage any illegal operations;
- transfer or exchange Customer’s social media handles connected to the Services without the prior written consent of Dash Social;
- transmit, distribute, retrieve, or store any data or other material through or via the Services in violation of any applicable law or regulation, including, without limitation:
- material that infringes, misappropriates, or violates any third party’s intellectual property rights, rights of publicity, privacy, or confidentiality;
- material or data that is illegal or, as determined by Dash Social (in Dash Social’s sole discretion), harassing, coercive, defamatory, libelous, abusive, threatening, obscene, tortious, hateful, or otherwise objectionable, material that is harmful to minors or excessive in quantity, or material which could diminish or harm the reputation of Dash Social or any third-party service provider involved in the provision of the Services;
- viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data, or personal information; and/or
- material or information that is false, misleading, or inaccurate.
- engage in any activities that may interfere with the ability of others to access or use the Services or the Internet (e.g. denial of service attacks);
- use the Services to transmit, upload, collect, manage, or otherwise process any Sensitive Information; or
- otherwise use the Services in a manner that materially violates this AUP or the Terms.
5. NOTIFICATION OF VIOLATION
If Customer or a User becomes aware of any violation of this AUP by any person, including Users or third parties, Customer or User must notify Dash Social via e-mail as soon as reasonably.
6. THIRD-PARTY PLATFORMS
Customer acknowledges that any use of such Third-Party Platform is governed solely by the applicable Third-Party Platform Terms.
7. DASH SOCIAL BRANDING
Unless you have our express prior written permission, you may not use any name, logo, tagline, or other mark of ours or the Services, or any identifier or tag generated by the Services, including without limitation: (a) as a hypertext link to any website or other location (except as provided for or enabled expressly by us); or (b) to imply identification with us as an employee, contractor, agent or other similar representative capacity. You also agree not to remove or alter any of these items as we may have provided or enabled.
8. GENERAL PROVISIONS
- Suspension. Dash Social may immediately suspend access to the Services if (i) there is a breach of this AUP; or (ii) Customer does not respond to us in a reasonable period after we’ve contacted Customer about a potential violation of this AUP. We may also suspend access as explained in the Terms and, if Customer or its Users violate this AUP, we may terminate the Agreement and Customer’s subscription for cause.
- Content. We may choose to remove any prohibited materials and deny access to any person who violates this AUP, and we further reserve all other rights.
- Updates. We may update and change any part or all of this AUP at any time without prior written notice. However, if we update or change this AUP, the updated AUP will be posted at https://www.dashsocial.com/aup and/or we will notify you via email or in-app notification if you have a subscription to our Services. When we change this AUP, the "Last updated" date above will be updated to reflect the date of the most recent version. We encourage you to review this AUP periodically so you are aware of the terms which apply to continued use of the Services.
